General terms and conditions
For all business relationships between TOGETHER GmbH and its business customers.
Section 1: Scope
All business relationships between TOGETHER GmbH, operator of www.together-gmbh.com, Albert-Einstein-Str. 1, 95028 Hof, Germany ("TOGETHER GmbH"), and customers whose business is based in Germany are governed exclusively by the following terms and conditions in the version in force when the order is placed. Any conflicting customer terms are not accepted. The buyer waives reliance on its own purchasing terms, which do not become part of the contract through our silence or delivery.
Section 2: Formation of contract
Our offer is exclusively for business customers. The customer confirms that they are not a consumer, but an individual, legal entity or partnership with legal capacity acting in the course of commercial or self-employed professional activity.
A sales contract is formed only when you receive our order confirmation and return it to us signed. No sales contract is formed for products not listed in the order confirmation, even if they were part of the same enquiry.
If you have already paid, for example in advance, but we decline delivery and the conclusion of a sales contract after checking your registration and order details, or decline delivery of part of your order, we will refund the amount paid for that order or part-order.
Section 3: Invoices
The customer receives a proper commercial invoice with the goods.
Section 4: Withdrawal
It is agreed that there is no right of cancellation or return.
If the customer wishes to withdraw from the sales contract, this must be negotiated with TOGETHER GmbH. If withdrawal is approved, the buyer must pay compensation of 35% of the total invoice amount.
Section 5: Prices, packaging and shipping costs
All prices exclude statutory VAT at the applicable rate and are ex our warehouse in 95028 Hof, Germany.
Packaging and shipping costs are calculated individually when preparing the quote, on the assumption of one shipment to one address within mainland Germany at valley-level access. The customer must provide delivery acceptance hours. Partial deliveries are excluded unless agreed before ordering. Please ask us about surcharges for German islands, mountain locations or telephone delivery notifications. If delivery fails, the customer will be charged for a further delivery by the freight carrier or parcel service.
Transport damage must be reported in writing immediately upon delivery to both the carrier and TOGETHER GmbH as sender. Later claims are excluded.
Section 6: Delivery and delivery times
Once we receive your signed order confirmation, we will dispatch the goods within the next two working days. If the order confirmation specifies a lead time for any item, delivery will be delayed by that period. Partial or advance deliveries are not available.
We are not bound by stated delivery periods if the buyer fails to meet its obligations on time. If TOGETHER GmbH is unable to deliver through no fault of its own because a component supplier fails to meet its contractual obligations, TOGETHER GmbH may withdraw from the contract. The customer will be informed promptly that the product is unavailable. Statutory customer rights remain unaffected. If delivery fails because the customer cannot be found at the stated address, the customer bears the costs of the failed delivery and a further delivery.
Delivery times are non-binding estimates.
Delivery is made to the address specified by the customer in the order.
All deliveries are to the kerbside at the delivery location within mainland Germany at valley-level access. Bulky goods and refrigeration equipment are shipped by freight carrier. We reserve the right to choose the carrier in each case.
Section 7: Due dates, payment and default
The purchase price may be paid in advance by bank transfer. Payment by cheque, credit card, direct debit or cash sent by post is not possible. For some products, a 30% deposit is due when the order is accepted and the remaining 70% before delivery.
If you have already paid, for example in advance, but we decline delivery and the conclusion of a sales contract after checking your registration and order details or because the order confirmation is unsigned, or decline delivery of part of your enquiry, we will refund the amount paid for that enquiry.
The invoice amount is due immediately without deduction. Default occurs without a reminder.
Section 8: Retention of title
Goods remain the property of TOGETHER GmbH until paid for in full.
Section 9: Warranty
In the event of defects, the customer's claims are governed by statutory provisions.
As a business buyer, you must inspect the goods promptly after TOGETHER GmbH has delivered them and they enter your possession. Under section 377(1) of the German Commercial Code (HGB), the buyer must inspect goods promptly after delivery and notify the seller immediately of any defect found. If you find a defect, notify TOGETHER GmbH promptly in writing by letter, email or fax. Verbal or telephone defect notices are not accepted.
If a business buyer fails to notify TOGETHER GmbH promptly of a defect that a proper inspection would have revealed, the goods are deemed accepted under section 377(2) HGB and warranty claims do not apply.
Section 10: Liability for defects and exclusions of liability
Statutory provisions apply where the goods are defective. Assignment of the customer's claims is excluded.
Further customer claims, regardless of legal basis, are excluded. TOGETHER GmbH is liable only for damage to the supplied item itself, not for damage elsewhere. TOGETHER GmbH is not liable for incorrectly installed units. Business buyers have no claim to removal, reinstallation or reimbursement of the related costs. TOGETHER GmbH is not liable for the customer's lost profits or other financial losses.
These limitations do not apply where damage results from intent or gross negligence, or where personal injury occurs. They also do not apply where the customer asserts claims provided for by law.
If TOGETHER GmbH negligently breaches an essential contractual obligation, liability for property damage is limited to the damage typically arising.
Descriptions and technical specifications of supplied items are non-binding. We reserve the right to make technical and design changes. Printing errors, obvious mistakes, typographical errors and calculation errors create no obligation. This also applies to our quotes and price lists.
Otherwise, all liability for damages, regardless of legal basis, is excluded. Where liability is excluded under these provisions, this also applies to our officers, agents and persons assisting us in performing our obligations, particularly employees.
Section 11: Data protection
Personal data relating to the buyer must be processed to perform the contract. All personal data provided by the customer is processed exclusively in accordance with applicable data protection rules.
The contracting parties undertake to comply with applicable data protection laws and regulations.
Details of how TOGETHER GmbH processes personal data can be found in our privacy policy on our website.
Section 12: Applicable law and final provisions
German law applies. TOGETHER GmbH and the customer agree to the application of German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If the customer is a merchant, the exclusive place of jurisdiction for all disputes is the registered office of TOGETHER GmbH in Nordhalben/Kronach. TOGETHER GmbH may also bring proceedings against the customer at the customer's general place of jurisdiction.
If any provision of the supply contract or these terms and conditions is or becomes invalid, the remaining provisions remain effective.
